Refer & Earn — Affiliate Agreement

Effective date: 22 October 2026

1. Parties

This agreement is made between FANCHATY AI LTD, a company registered in England and Wales (company number: 16983888, registered office: 71-75 Shelton Street, Covent Garden, London, WC2H 9JQ, United Kingdom) ("Fanchaty", "we", "us") and the person who joins the Refer & Earn programme ("Affiliate", "you").

2. Definitions

• Platform: fanchaty.ai and the other sites and apps operated by Fanchaty.
• Programme: the Refer & Earn referral programme and the premium friend gift.
• Programme Documents: this Agreement, "How It Works", "Promotion Rules", "Payment, Tax & Crypto Terms" and "Privacy Notice".
• Referral: a person linked to you under the Programme rules.
• Premium Friend: a Referral, as defined in "How It Works", who generates a reward or commission.
• Earnings: fixed rewards, commissions, leaderboard bonuses and adjustments to them.
• Pending / Approved Balance: the total of earnings whose holding period has not / has ended.
• Dashboard: your personal Programme dashboard on the Platform.

3. Scope and order of precedence

The Programme Documents together form a single agreement. The Privacy Notice is for information. The Platform's Terms of Use continue to apply. If the documents conflict, this order applies: (1) this Agreement, (2) the Payment, Tax & Crypto Terms, (3) the Promotion Rules, (4) How It Works.

4. Eligibility

• You must be at least 18 and legally able to enter into contracts.
• You must have an active Platform account that is not banned.
• You must not be an employee or officer of Fanchaty, or the holder of an account with staff or creator permissions on the Platform.
• You may join the Programme with one account only.
• The information you give us must be true and up to date.
• Fanchaty may refuse or limit participation for good reason, such as risk of abuse, legal restrictions or the security of the Programme.

5. Independent affiliate

• You act as an independent person. This Agreement does not create an employment, agency, partnership or joint venture relationship between us.
• You may not make promises or contracts on behalf of Fanchaty, or act as if you represent Fanchaty.
• You bear all costs of your promotion.
• There are no sub-affiliates: you cannot earn from other affiliates' earnings.

6. Licence

Fanchaty grants you a limited, non-exclusive, non-transferable and revocable licence to use your invite link, your code and the general-audience materials we provide, only for the purpose of the Programme and in line with the Promotion Rules. You may not register any domain name, social media handle, app name or trade mark containing the Fanchaty name or logo, or anything confusingly similar. This licence ends automatically when this Agreement ends.

7. Earnings

• Fixed rewards, commission rates, tiers, the referral window, the holding period and the payments that count are set out in "How It Works".
• A payment is governed by the rules in force, and your rate, at the moment the payment is made.
• Fanchaty does not promise any level of earnings. Your earnings depend solely on the real, non-refunded payments of your Referrals.
• Payment method, threshold, exchange rate and tax are governed by the Payment, Tax & Crypto Terms.

8. Tracking and records

• Links, payments and earnings are determined by Fanchaty's records. Those records are final unless there is a manifest error.
• Tracking may not always work perfectly, for example because of blocked cookies, browser settings, use of different devices or technical faults. Fanchaty is not responsible for referrals that cannot be tracked.
• If you dispute a record, you must write to [email protected] within 60 days after the end of the month concerned.

9. Review, withholding and clawback

• Fanchaty may review any earning, reward or payout and withhold it while the review is ongoing.
• First payouts, high-value lines, many Referrals in a short time, recently changed wallets and tier reviews are checked by hand before payment.
• If chargebacks among Referrals rise unusually, Fanchaty may temporarily pause all Programme payouts.
• Earnings with no matching record at our payment provider are not paid.
• Fanchaty may cancel or claw back an earning in case of a refund, chargeback, calculation error, fraud or breach of this Agreement. A clawback is made by adding a negative line to your balance, even if the earning was already approved or paid, and is offset against your future earnings.
• If your account is closed, or no new earnings arise for a long time, Fanchaty may, to the extent permitted by law, ask you to repay amounts that were overpaid.

10. Prohibited conduct

The following are strictly prohibited:

• Referring yourself; generating earnings through multiple accounts, fake identities or someone else's account.
• Paying on behalf of a Referral, or asking a Referral to pay and then request a refund or chargeback.
• Obtaining clicks, sign-ups or purchases by giving money, gifts or a share of your commission.
• Cookie stuffing, forced clicks, bots or fake traffic.
• Any other conduct listed in the Promotion Rules.

In case of a breach, Fanchaty may issue a warning, cancel the related earnings, stop payouts, or freeze or close your account. If fraud is confirmed, your entire balance is forfeited.

11. Gifts

The rules of the premium friend gift are set out in "How It Works". If gifts are abused (sold, distributed in bulk, or redeemed with fake accounts), Fanchaty may cancel unused gifts and take back gifts already given and any rewards arising from them.

12. Privacy and confidential information

• You do not receive your Referrals' personal data. In the Dashboard you see a pseudonym and day-level dates. The only exception is the username of a person who used your gift, if they allow it.
• You must not try to identify Referrals or decode pseudonyms.
• You must keep non-public information about the Programme confidential.
• If you collect personal data from your own followers or lists for promotion, you are responsible for that data and must comply with data protection law.
• How Fanchaty processes personal data is explained in the Privacy Notice.

13. Term and termination

• This Agreement starts when you accept it and has no fixed term.
• You may leave the Programme at any time from the Dashboard or by writing to [email protected].
• When you leave, your approved balance is included in the next payout run and sent to you even if it is below the ordinary payout threshold — this is a one-off exception that applies only to leaving. The single limit is the blockchain network fee: if your balance is below $5 (250 TRY for TRY accounts), sending it costs more than the amount itself; in that case it is not paid, it is removed when your account closes, and you are told this on the leaving screen beforehand. Once the payment is made your account is closed; a closed account cannot be reopened. Earnings still inside the holding period, and rewards not yet granted, are cancelled.
• Fanchaty may end this Agreement without cause by giving you 30 days' notice by email. In that case your approved balance is paid under the Payment Terms.
• Fanchaty may end this Agreement immediately in case of a serious breach of this Agreement or the Promotion Rules, fraud, or a legal requirement.
• If your Platform account is banned, your Programme account is frozen: earnings are recorded but no payouts are made.
• Forfeiture of your balance on account deletion, after 12 months of inactivity and in case of fraud is governed by the Payment, Tax & Crypto Terms.
• Sections 8, 9, 12, 15, 16 and 17 and the payment provisions survive termination.

14. Changes

• Fanchaty may change the Programme Documents and Programme rules (including rates, rewards and thresholds) for the future. A change applies to payments made after it takes effect; the amount of approved earnings is not reduced retroactively.
• Material changes are notified by email and in the Dashboard at least 14 days before they take effect.
• For a material change you will be asked to accept the new version. Until you accept, your earnings are recorded but no payouts are made. If you do not wish to accept, you may leave the Programme.
• Corrections of typos and clarifications that do not change the meaning do not require re-acceptance.
• Leaderboard bonus amounts are set at the start of each month and may change from month to month.
• Fanchaty may end the Programme entirely by giving 30 days' notice.
• In an emergency — such as a security incident, widespread fraud or a legal requirement — Fanchaty may suspend or stop the Programme immediately without waiting for the notice period. In that case approved balances are paid under the Payment Terms; no new earnings are processed while the Programme is suspended.

15. Limitation of liability

• The Programme is provided "as is". Fanchaty does not undertake that it will operate without interruption or error.
• Fanchaty is not liable for loss of profit, loss of opportunity, loss of reputation or indirect loss; for delays or failures of blockchain networks; or for outages of third-party services.
• Fanchaty's total liability under this Agreement is limited to the total amount paid to you in the 12 months before the claim.
• This section does not limit liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot be limited by law.

16. Indemnity

You agree to cover claims, fines and reasonable costs brought against Fanchaty because your promotion breached this Agreement, the Promotion Rules or the law.

17. Governing law and disputes

• This Agreement is governed by the law of England and Wales.
• The courts of England and Wales have jurisdiction over disputes.
• Before taking legal action, please write to [email protected]; we will consider your request in good faith and reply within 30 days.
• This section does not remove any rights that the laws of your country give you and that cannot be excluded by contract.

18. General

• Entire agreement: the Programme Documents are the entire agreement between the parties about the Programme.
• Severability: if a provision is held invalid, the others are not affected.
• No waiver: not exercising a right does not mean giving it up.
• Assignment: you may not transfer your rights under this Agreement. Fanchaty may transfer this Agreement as part of a transfer of its business.
• Notices: notices to you are sent to the email address on your account; notices to Fanchaty go to [email protected].
• Third parties: no third party has rights under the Contracts (Rights of Third Parties) Act 1999.
• Language: this Agreement is published in Turkish and English. If the two texts differ, the English text prevails.
• Electronic acceptance: you accept this Agreement by ticking the acceptance box on the Platform. Your acceptance is recorded with the document version, language, a content fingerprint and the date.
